These Terms of Use (“Terms”) govern your access to, and use of all web properties operated by Florindo Trading International, Private Limited (“Florindo”), including but not limited to the website located at www.ayrwater.com, our mobile applications, payment portals (including portal.ayrwater.com), and any affiliated blogs or services (collectively referred to herein as the “Web Properties”). By accessing or using our Web Properties, you are entering into a legally binding agreement with Florindo and you unconditionally agree to be bound by these Terms and any policies or documents incorporated herein by reference, as may be amended from time to time. If you do not agree to any part of these Terms, you must not access or otherwise use our Web Properties.

Our Web Properties may contain forward-looking statements based on the current expectations of Florindo’s management. These statements are not guarantees of future performance and are subject to risks and uncertainties. Florindo is under no obligation to update such statements in light of new information or future events.

Content Accuracy and Updates
Florindo may, at its sole discretion, update or modify the content and functionalities of its Web Properties at any time without notice. While efforts are made to keep information current, Florindo does not warrant the accuracy, completeness, or timeliness of any content. Users are solely responsible for verifying information prior to reliance.

Third-Party Links

The Web Properties may contain hyperlinks or banner advertisements redirecting users to external websites (“Third-Party Sites”). Florindo is not affiliated with, nor responsible for, the content, accuracy, or policies of such Third-Party Sites. Any access to Third-Party Sites is undertaken at the user’s own risk.

Electronic Communications and Privacy
By using the Web Properties, you consent to receive communications from Florindo electronically. Such communications shall satisfy legal requirements applicable to written correspondence. The collection and handling of personal data is subject to our Privacy Policy.

Intellectual Property Rights

All content made available through the Web Properties—including, but not limited to, text, graphics, logos, images, audio, video, and software—is the sole property of Florindo and is protected by Indonesian and international intellectual property laws. Users may download materials solely for personal, non-commercial use, provided all proprietary notices remain intact. Any other use is strictly prohibited without prior written consent from Florindo.

Trademark Notice

The mark AYR Water™ is a registered trademark of PT Florindo Trading International, protected under Indonesian Law pursuant to Trademark Registration No. IDM001304448, issued by the Directorate General of Intellectual Property (Direktorat Jenderal Kekayaan Intelektual), Ministry of Law and Human Rights of the Republic of Indonesia. The registration was accepted on 29 May 2024 and is valid for a period of ten (10) years, until 29 May 2034, subject to renewal.

This registration applies to Class 11, which includes, but is not limited to:

Water dispensers; empty water filtering bottles; drinking water filters; water filtration systems; apparatus for dispensing heated and/or cooled water; commercial water purifiers; drinking water supply equipment; disinfection water equipment; water cooling installations; electrically operated soda water machines for industrial use; ionisation apparatus for water treatment; drinking water strainers; water purification machines; ultra-pure water treatment apparatus; water purification units for industrial and commercial use; water filter installations; water purification units for the production of drinking water; water sterilisation equipment; and other related equipment.

Unauthorised use of the AYR Water™ name, logo, or any related intellectual property without the express written consent of Florindo is strictly prohibited and may result in legal action under applicable laws. For more information, you may consult the Indonesian Directorate General of Intellectual Property’s official database.

Disclaimer of Warranties
The Web Properties are provided “as is” and “as available,” without any warranty of any kind, express or implied. Florindo expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability
Florindo shall not be liable for any direct, indirect, incidental, consequential or special damages arising out of or in connection with your access to or use of the Web Properties. This includes, but is not limited to, loss of business, data, or profits, as well as damages resulting from technical issues or unauthorised access.

Your exclusive remedy for dissatisfaction with the Web Properties or their content is to cease usage. You agree to indemnify Florindo, its affiliates, and their respective officers and employees from any claims, liabilities, damages or expenses (including legal fees) arising from your breach of these Terms or applicable laws.

Portal Access
To access our customer portal (portal.ayrwater.com), you may be required to use specific login credentials (“Login Information”). You are solely responsible for maintaining the confidentiality of this information and for all activities under your account. In the event of unauthorised access, you must notify Florindo immediately and take all reasonable measures to secure your account.

Autopay Services
Enrolling in our automatic payment service (“Autopay”) authorises Florindo to charge the payment method provided, including via credit card or Automated Clearing House (ACH), for all invoiced amounts. It is your responsibility to ensure that your payment information remains current.

Florindo shall not be liable for overdraft fees, declined payments, or any associated charges. You may cancel Autopay at any time via the Portal; however, cancellations may take up to 24 hours to process.

Security
While Florindo takes reasonable steps to protect your data, we cannot guarantee absolute security of any electronic communications or transmissions. You acknowledge the inherent risks associated with digital transactions and agree that Florindo shall not be held liable for unauthorised access or data breaches.

User Representations
By using our Web Properties, you affirm that you are at least 18 years of age and that you shall not use the Web Properties for any unlawful or prohibited purposes.

Termination of Access
Florindo reserves the right to terminate or restrict access to any or all Web Properties at its sole discretion and without notice, should you violate these Terms or engage in conduct deemed harmful to Florindo or other users.

Remedies
You acknowledge that any breach of these Terms may cause irreparable harm to Florindo. Accordingly, Florindo shall be entitled to seek injunctive relief in addition to any other remedies available at law or equity.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of laws provisions.

Jurisdiction and Local Compliance
You are responsible for compliance with all local laws applicable to your use of the Web Properties. Accessing the Web Properties from jurisdictions where such use is unlawful is strictly prohibited.

Miscellaneous
No waiver of any term or condition shall constitute a future or continuing waiver. If any provision of these Terms is deemed unenforceable, the remainder shall remain in full force and effect. These Terms do not limit any additional rights afforded to Florindo under applicable intellectual property or trade secret laws
